Welcome to Rotelx. These Vendor Terms & Conditions (“Vendor Terms”) govern your registration and use of the Rotelx marketplace as a vendor, seller, service provider, property advertiser, vehicle seller, auction seller, or other approved business partner.

By registering as a vendor or using your Rotelx vendor account, you agree to these Vendor Terms, together with Rotelx’s general Terms & Conditions, Privacy Policy, and other applicable policies.

If you do not agree with these terms, you should not register or operate as a vendor on Rotelx.

1. About Rotelx

Rotelx is a multi-vendor marketplace that may allow approved vendors to offer and sell products and services, including physical and digital products, vehicles, vehicle auctions, real estate listings, accommodation and other approved services.

Rotelx provides the marketplace platform and facilitates interactions between customers and vendors. Unless expressly stated otherwise, vendors are responsible for the products and services they list and sell.

2. Vendor Eligibility

To become a Rotelx vendor, you must:

Provide accurate and complete registration information.

Be legally capable of entering into binding agreements.

Provide accurate business and contact information where required.

Provide valid payment and payout information.

Comply with applicable Nigerian laws and regulations.

Provide additional verification documents when requested by Rotelx.

Maintain accurate information throughout your vendor relationship with Rotelx.

Rotelx may reject, suspend, restrict, or terminate a vendor account where necessary to protect customers, vendors, Rotelx, or the marketplace.

3. Vendor Account

You are responsible for keeping your account credentials secure.

You must not:

Share your vendor account with unauthorized persons.

Impersonate another person or business.

Create fraudulent vendor accounts.

Use another person’s information without authorization.

Attempt to gain unauthorized access to another account.

You are responsible for activities carried out through your vendor account.

4. Vendor Information and Verification

Rotelx may request information or documentation to verify your identity, business, products, services, vehicles, properties, or payment details.

Depending on the nature of your business, Rotelx may request:

Government-issued identification.

Business registration information.

Business address.

Bank/payment information.

Product documentation.

Vehicle ownership or relevant vehicle documents.

Property ownership or authorization documents.

Other information reasonably required for verification.

Providing false, misleading, fraudulent, or altered documentation may result in suspension or termination.

5. Vendor Listings

Vendors are responsible for ensuring that all listings are:

Accurate.

Complete.

Current.

Legally permitted.

Clearly described.

Properly categorized.

Accompanied by genuine images where applicable.

Product titles, descriptions, prices, specifications, availability, images, delivery information, and other listing details must not mislead customers.

Rotelx may review, edit, reject, remove, or suspend listings that violate these Vendor Terms or applicable policies.

6. Prohibited Products and Services

Vendors must not list or sell products or services that are illegal, fraudulent, counterfeit, stolen, dangerous, prohibited by applicable law, or otherwise restricted by Rotelx.

This includes products or services that:

Infringe intellectual property rights.

Promote fraud or deception.

Are counterfeit or unlawfully copied.

Are stolen.

Are prohibited under applicable Nigerian law.

Present an unreasonable risk to customers.

Violate Rotelx policies or payment-provider requirements.

Rotelx may remove prohibited listings without prior notice where reasonably necessary.

7. Vendor Responsibilities

Vendors are responsible for:

Maintaining sufficient inventory where applicable.

Providing accurate product information.

Processing customer orders promptly.

Preparing products for delivery.

Providing accurate shipping information.

Honoring advertised prices and terms.

Responding to customer enquiries.

Providing applicable warranties or guarantees.

Handling legitimate returns and refunds according to Rotelx policies.

Complying with applicable consumer-protection requirements.

8. Orders and Payments

When a customer purchases a vendor’s product through Rotelx, the vendor must fulfill the order according to the listing and applicable Rotelx policies.

Vendors must not manipulate orders, create fraudulent transactions, artificially inflate sales, or otherwise abuse Rotelx’s ordering system.

Rotelx may hold, delay, adjust, reverse, or withhold vendor payouts where reasonably necessary to address refunds, disputes, fraud, chargebacks, policy violations, or other legitimate marketplace concerns.

9. Rotelx Commission and Fees

Rotelx may charge vendors commissions, transaction fees, service fees, advertising fees, subscription fees, or other applicable charges.

Any applicable commission or fee will be determined according to the vendor’s applicable plan and Rotelx’s current fee structure.

Note for your current setup: Since you are starting Rotelx and have chosen not to charge vendors a membership fee initially, you don’t need to say that vendors must pay a subscription fee. Your Dokan commission can operate separately.

10. Vendor Payouts and Withdrawals

Eligible vendor earnings may be available for withdrawal subject to Rotelx’s payout procedures.

Vendors must provide accurate payout information.

Rotelx may delay or restrict withdrawals when necessary because of:

Pending orders.

Returns or refunds.

Customer disputes.

Chargebacks.

Fraud investigations.

Policy violations.

Account verification.

Other legitimate financial or security concerns.

Vendors are responsible for any applicable taxes, charges, or financial obligations associated with their earnings.

11. Shipping and Delivery

Vendors are responsible for properly preparing and dispatching products according to their stated delivery terms.

Vendors must not provide false delivery information or deliberately delay fulfillment.

Where shipping is arranged by the vendor, the vendor is responsible for ensuring that the product reaches the customer in the condition described in the listing.

12. Returns, Refunds and Cancellations

Vendors must comply with Rotelx’s applicable Return & Refund Policy.

Where a refund or return is approved, vendors must cooperate promptly with the process.

Vendors must not refuse a legitimate refund or return solely to avoid financial loss where the applicable Rotelx policy requires the refund.

13. Vehicles and Car Auctions

Vendors listing vehicles or participating in vehicle auctions must provide accurate information about the vehicle.

Where applicable, vendors must accurately disclose:

Vehicle make and model.

Year.

Mileage.

Condition.

Ownership status.

Relevant documentation.

Known defects or material issues.

Auction terms.

Starting price or applicable pricing information.

Vendors must not misrepresent vehicle condition, mileage, ownership, documentation, accident history, or other material information.

Rotelx may require additional verification before allowing certain vehicle or auction listings to become active.

14. Real Estate and Property Listings

Vendors listing apartments, houses, land, hotels, rooms, or other properties must have the legal authority or appropriate authorization to advertise the property.

Property listings must accurately describe:

Location.

Property type.

Availability.

Price.

Amenities.

Images.

Booking or rental conditions.

Vendors must not advertise properties they are not authorized to represent.

15. Digital Products

Vendors selling digital products must have the necessary rights, licenses, or permissions to sell or distribute the digital content.

Vendors must not upload or sell pirated software, stolen digital content, unauthorized copies, malware, or content that infringes another person’s intellectual property rights.

16. Intellectual Property

Vendors must own or have permission to use all trademarks, photographs, videos, descriptions, logos, documents, software, and other materials they upload to Rotelx.

By uploading content, you grant Rotelx permission to display and use that content as reasonably necessary to operate, advertise, promote, and provide the marketplace services.

You remain responsible for ensuring that your content does not infringe the rights of others.

17. Customer Communications

Vendors must communicate with customers professionally and honestly.

Vendors must not:

Harass customers.

Threaten customers.

Send fraudulent communications.

Misuse customer information.

Attempt to redirect customers to fraudulent payment methods.

Request unnecessary sensitive information.

Use customer information for unauthorized marketing.

18. Customer Data and Privacy

Vendors may receive limited customer information necessary to fulfill orders or provide services.

Vendors must:

Protect customer information.

Use customer information only for legitimate marketplace purposes.

Not sell customer information.

Not share customer information without authorization.

Follow applicable privacy and data-protection requirements.

19. Vendor Reviews and Ratings

Customers may rate or review products and vendors.

Vendors must not manipulate reviews or ratings by:

Creating fake reviews.

Paying for fake reviews.

Threatening customers for negative reviews.

Offering improper incentives for positive reviews.

Creating fraudulent customer accounts.

Rotelx may remove fraudulent or abusive reviews where appropriate.

20. Vendor Advertising and Promotions

Vendors may only advertise products and services through Rotelx features available to them.

Promotional claims must be truthful and accurate.

Vendors must not use Rotelx to promote illegal, fraudulent, offensive, misleading, or prohibited content.

21. Vendor Conduct

Vendors must conduct themselves professionally and must not attempt to manipulate, exploit, damage, or disrupt the Rotelx marketplace.

This includes attempting to:

Manipulate prices.

Manipulate orders.

Circumvent Rotelx fees.

Defraud customers.

Defraud Rotelx.

Interfere with marketplace systems.

Create fake transactions.

Abuse promotions.

Circumvent account restrictions.

22. Suspension and Termination

Rotelx may suspend, restrict, or terminate a vendor account where there is reasonable evidence of:

Fraud.

Misrepresentation.

Repeated customer complaints.

Selling prohibited products.

Counterfeit products.

Failure to fulfill orders.

Abuse of customers.

Policy violations.

Illegal activity.

Payment abuse.

Security risks.

Where appropriate, Rotelx may give the vendor an opportunity to resolve the issue.

23. Vendor Responsibility and Indemnification

Vendors are responsible for their products, services, listings, transactions, customer interactions, and compliance with applicable laws.

To the extent permitted by applicable law, vendors agree to protect and indemnify Rotelx, its owners, officers, employees, contractors, and affiliates against claims, losses, liabilities, damages, costs, and expenses arising from the vendor’s:

Products or services.

Listings.

Breach of these Vendor Terms.

Violation of applicable law.

Infringement of third-party rights.

Fraudulent or negligent conduct.

24. Limitation of Rotelx’s Role

Rotelx operates the marketplace platform and may facilitate transactions between customers and vendors.

Unless specifically stated otherwise, Rotelx is not the manufacturer, owner, seller, landlord, hotel operator, vehicle owner, auction seller, or service provider for products or services offered by independent vendors.

Vendors remain responsible for fulfilling their obligations to customers.

25. Changes to Vendor Terms

Rotelx may update these Vendor Terms from time to time.

Updated terms may be published on the website and may become effective from the date specified in the updated terms.

Continued use of the vendor platform after the effective date may constitute acceptance of the updated terms.

26. Governing Law

These Vendor Terms shall be interpreted in accordance with the applicable laws of the Federal Republic of Nigeria.

Any disputes shall be handled in accordance with applicable Nigerian law and the appropriate dispute-resolution procedures.
